CONSTITUTION NEVADA MATHEMATICS COUNCIL
ARTICLE I - NAME
The name of this organization shall be the Nevada Mathematics Council.
ARTICLE II - PURPOSE

Section 1.  The purpose of the Nevada Mathematics Council shall be to encourage and maintain communication and collaboration among National Council of Teachers of Mathematics (NCTM) affiliates within the State of Nevada.

Section 2.  Additional purposes of the organization shall be:  to encourage and maintain interest in the teaching of mathematics; to support statewide communication among mathematics educators; and, to provide continuity in promoting professional development and growth opportunities in mathematics and mathematics education.

Section 3.  The Nevada Mathematics Council is organized exclusively for charitable purposes within the meaning of section 501 (c) (3) of the Internal Revenue Code.
ARTICLE III - MEMBERSHIP

Section 1.  Membership shall be open to all persons interested in mathematics and mathematics education.

Section 2.  Active members of any NMC affiliate shall automatically become members of the organization and be entitled to all privileges of the Nevada Mathematics Council.

Section 3.  Individuals who are not members of current or recognized NCTM affiliates established in Nevada shall pay regular dues to the Nevada Mathematics Council and will be associated with, and receive all communication from, the nearest NCTM affiliate located within Nevada.

Section 4.  The dues for membership in the Nevada Mathematics Council shall be set by the NMC Executive Board with the approval of the Nevada NCTM affiliate.
ARTICE IV - EXECUTIVE BOARD

Section 1.  The Executive Board shall consist of representatives from all recognized Nevada NCTM affiliates  and other recognized organizations involved with mathematics education as described in "Article 1, Section 1 of the Bylaws"

Section 2.  The Executive Board shall attend to any and all business of the Nevada Mathematics Council.

Section 3.  Notwithstanding any other provisions of the Articles, the organization shall not carry on any other activities not permitted to be carried on by an organization exempt from federal income tax as an organization described in section 501 (c) (3) of the Internal Revenue Code (or corresponding section of any future federal tax code).
ARTICLE V - OFFICERS
The Executive Board shall consist of a President, President - Elect (or Past President), Secretary, and Treasurer.
ARTICLE VI - DUTIES OF OFFICERS

Section 1.  The President shall preside at meetings of the Nevada Mathematics Council.  The President shall annually appoint, with the approval of the Executive Board, a NCTM Representative, all Standing Committee Chairs or Co-Chairs, and all other committee personnel from the ranks of the Council affiliates  and organization’s membership.

Section 2.  The President-Elect (or Past President) shall perform the duties of the President, Secretary, and Treasurer in the absence of any of those officers.

Section 3.  The Secretary shall keep the minutes of the Executive Board meeting, maintain a documented historical record of all Nevada Mathematics Council proceedings, and shall pass these documents to the newly-elected Secretary, as a permanent record of the actions of the organization.

Section 4.  The Treasurer shall receive and account for all moneys of the organization, disburse all sums, render financial reports at each meeting of the Executive Board, and file all appropriate organizational tax documents and/or financial records required by State and Federal laws.

Section 5.  The NCTM Representative shall be responsible for maintaining open communication with the NCTM national organization and ordering or disseminating National Council of Teachers of Mathematics information and educational materials for the Executive Board.
ARTICLE VII - STANDING COMMITTEES (Change to Ad Hoc???)

Section 1.  The organization shall include, but not be limited to, the Executive Board members and the following standing committees:  Communications and Public Relations, Program Planning and Initiatives, Constitution and Bylaws, Membership, and Fiscal Planning.

Section 2.  Standing Committees shall confer at least twice a year and submit reports, recommendations, or proposal for action to the Executive Board.
ARTICLE VIII - MEETINGS
At least two meetings of the Executive Board shall be held yearly.  The Executive Board shall set the time and place of the meetings.  All meetings are to be open to any member of the Nevada NCTM affiliates and organizations associated with the Nevada Mathematics Council.
ARTICE IX - RULES OF ORDER (Modify for electronic communication and voting)
The organization shall be governed by Robert’s Rules of Order in decision-making instances.  For decision-making purposes an official meeting requires a quorum.  A quorum shall require that 2/3 of the members of the Executive Board, or their designated proxies, are in attendance.  Executive Board members not in attendance may be represented by a proxy who is not a regular member of the Executive Board.  Said proxy shall count toward establishing the presence of a quorum.
ARTICLE X - AMENDMENTS

This Constitution may be amended at any official meeting of the Executive Board provided approval of the proposed amendment(s) action has been ratified by the affiliate groups and written notice of the intended action has been provided to the members of the Executive Board five (5) days prior to the decision date.

ARTICLE XI - DISSOLUTION
Upon the dissolution and winding up of this organization, after paying or adequately providing for debts and obligations of the organization, the remaining assets shall be distributed to a nonprofit fund, foundation or corporation organized and operated exclusively for the purposes specified in section 501 (c) (3) of the Internal Revenue Code and which has established its tax-exempt status under that section.
ARTICLE I - EXECUTIVE BOARD

Section 1.  The Executive Board shall consist of two representatives from each of the NMC affiliates, two representatives from the rural areas, three representatives from Higher Education:  (one representative from the University of Nevada - Las Vegas, one representative from the University of Nevada - Reno, and one representative from Great Basin College); and one representative from the Nevada Department of Education.  Additional members may be admitted to the Executive Board under the provisions of Article IX of the Constitution.

Section 2.  Representatives shall be appointed by the Nevada NCTM affiliates and associated organizations for two-year terms.  One representative from each of the affiliates and associated organizations should complete his/her term yearly.

Section 3.  Opportunities for Executive Board membership shall be advertised through affiliate newsletters.  Applicants for Rural and Higher Education seats on the Executive Board must submit formal announcements of their interest to the President of the Nevada Mathematics Council.  The Executive Board shall approve Rural and Higher Education applications for seats on the Board.  Higher Education representation on the Board may not be from the same geographical region or educational institution.

ARTICLE II - ELECTION OF OFFICERS
The NMC Executive Board will elect officers of the Nevada Mathematics Council.  The term of office for the President, Secretary, and Treasurer shall be two years.  The term of office for the President-Elect (or Past President) shall be one year.  The President-elect shall be elected to serve during the second year of the term of the President. The election of a President from an affiliate requires the appointment of another individual from the affiliate to fill the open representative seat.
ARTICLE III - AMENDMENTS

These By-laws may be amended at any official meeting of the Executive Board provided written notice of the proposed amendment(s) has (have) been submitted to the members of the Executive Board for review and discussion five (5) days prior to the meeting.
